Membership Agreement:

1. Parties

This Membership Agreement ("Agreement") has been concluded between the owner of the website www.ugursaat.com.tr, Uğur Saat Mağazacılık A.Ş. located at the address Bilkent Kavşağı 2118. Cad. D Blok No:8 Çankaya/ANKARA (here in after referred to as "Uğur Saat") and the internet user who is a member of the website www.ugursaat.com.tr ("Member") on ..../..../......

2. Subject of the Agreement

The subject of this Agreement is to determine the terms and conditions of the Member's utilization and use of the website www.ugursaat.com.tr owned by Uğur Saat.

3. Rights and Liabilities of the Parties

3.1.  The Member accepts and undertakes to comply with all provisions of the legal legislation and not to violate such provisions while using the website www.ugursaat.com.tr. Otherwise, the member shall be fully and exclusively responsible for all legal and criminal liabilities that may arise.

3.2. The Member may not engage in activities (spam, virus, etc.) and transactions that prevent or make it difficult for others to use the services on the www.ugursaat.com.tr website.

3.3. The Member may not use the www.ugursaat.com.tr website in any way that disrupts public order, violates public morality, disturbs and harasses others, infringes the intellectual and copyright rights of others and for any purpose contrary to the law.

3.4. The opinions and thoughts expressed, written and expressions used by the Members on the website www.ugursaat.com.tr are exclusively the personal opinions and comments of the Members and the Member is solely responsible for the consequences of these opinions and comments. These opinions and thoughts have nothing to do with and are not connected to Uğur Saat. Uğur Saat shall not be liable for any damages that may be incurred by third parties or organizations due to the ideas and opinions expressed by the Member or any damages that may be incurred by the Member due to the ideas and opinions expressed by third parties or organizations.

3.5. The Member declares and undertakes that the personal and other information provided by the Member while becoming a Member of the website www.ugursaat.com.tr is in accordance with the truth and that Uğur Saat will compensate all damages that Uğur Saat may incur due to the untruthfulness of this information in full and in cash.

3.6. The right to use the password obtained by the Member from the Uğur Saat website belongs exclusively to the Member. The Member cannot give this password to any third party. All legal and criminal liability regarding the use of the password belongs to the Member.

3.7. Uğur Saat shall not be held liable for any unauthorized interception of the Member's data and any damage to the Member's software and data. The Member agrees in advance not to claim any compensation from Uğur Saat for any damages that may be incurred due to the use of the website www.ugursaat.com.tr.

3.8. The Member agrees not to access or use the information and software of other internet users without authorization. Otherwise, the legal and criminal liability arising for this reason belongs entirely to the Member.

3.9. The Member who violates one or more of the articles listed in this Agreement accepts and undertakes that he/she will be responsible for all damages that may arise for this reason and that he/she will keep Uğur Saat free from all damages, lawsuits, claims and claims that may arise for this reason and indemnify against them.

3.10. If Uğur Saat detects duplicate memberships, it has the right and authority to suspend or terminate these memberships following the notification to the customer.

3.11. All intellectual property rights regarding the design and software of the website www.ugursaat.com.tr and the text and visual content of the products are the property of Uğur Saat and may not be used by the Member without the written permission of Uğur Saat.

3.12. Some information such as the name and Internet Protocol (IP) address of the Internet service provider used to access the site, the date and time of access to the Site, the pages accessed while on the site, and the Internet address of the website that provides direct connection to the site may be collected by Ugur Saat for the improvement and development of the www.ugursaat.com.tr website and/or within the framework of legal legislation.

3.13. Uğur Saat has the right to reach the user for communication, marketing, advertising, promotion, notification and other purposes by letter, e-mail, SMS, phone call and other means through the address, e-mail address, fixed and mobile phone lines and other contact information written by the Member in the registration form on the website or mobile application or updated by the Member later. By accepting this agreement, the Member accepts and declares that Uğur Saat may engage in the above-mentioned communication activities for him/her, unless otherwise notified in writing.

3.14. The Member declares and accepts that he/she allows information and announcements to be sent to him/her about product and service promotions, advertisements, campaigns, campaigns, advantages, surveys and other customer satisfaction practices of Uğur Saat brands within the scope of the applications in force and/or to be put into force. The Member declares and accepts that he/she allows the collection, use and archiving by Uğur Saat of his/her personal and shopping information and shopping and/or consumer behavior information that he/she has provided in the past and/or will provide in the future while becoming a member of the website and/or in other ways. Unless the Member declares otherwise, the Member declares and accepts that he/she allows the data to be collected, used and archived by Uğur Saat when his/her membership is terminated. The Member accepts and declares that he/she will not make any claim and will not hold Uğur Saat responsible for any direct and/or indirect material and/or indirect material and/or moral negative and/or positive damages due to the collection, sharing, use, archiving and access to the aforementioned information.

3.15. Uğur Saat may disclose the personal information of the Member to third parties in the following cases;

(a) where disclosure is required by applicable law or regulations or by a court decision or administrative order,

(b) in the cases referred to in Article 3.13; and

(c) If the consent of the Member is present

3.16. Measures have been taken within the current possibilities to ensure that the Uğur Saat website is free of viruses and similar software. In addition, in order to ensure ultimate security, the user must supply his/her own virus protection system and provide the necessary protection. In this context, by accessing the Uğur Saat website, the Member accepts that he/she is responsible for all errors that may occur in his/her software and operating systems and their direct or indirect consequences.

3.17. Uğur Saat reserves the right to change the content, design and software of the website at any time, to change, stop or terminate any service provided to users and to delete user information and data registered on the website at any time.

3.18. Uğur Saat may update, amend or repeal the terms and conditions of this Agreement at any time without the need for prior notice and/or warning in any form or manner. Each updated, amended or repealed provision shall be effective for all Members on the date of publication.

3.19. Pursuant to this Agreement, Uğur Saat is authorized to send informative e-mails to the e-mail addresses of its Members registered with it and informative SMS messages to their mobile phones. By approving this Agreement, the MEMBER shall be deemed to have consented to the sending of information e-mails to its e-mail address and information SMS to its mobile phone. If the MEMBER wishes to opt out of receiving electronic mail and/or SMS, he/she will be able to cancel the sending of electronic mail and/or SMS by submitting this request to Uğur Saat Customer Services. 3.13. article provisions are reserved.

4. Termination of the Agreement

Either party may terminate this Agreement at any time by unilateral notice to the other party.

5. Breach of Conflicts 

This Agreement shall remain in force until the Member cancels his/her Membership or until Uğur Saat decides to cancel his/her Membership. In the event that the Member violates any provision of the "membership agreement", Uğur Saat may unilaterally terminate the agreement by canceling the Member's Membership. Ankara Courts and Enforcement Offices are authorized to resolve all disputes arising out of or in connection with this Agreement.

6. Enforcement

The Member's registration as a Member is realized upon the Member's reading and acceptance of all articles contained in this Agreement. This Agreement is concluded and entered into force at the moment the Member becomes a Member.
